Caribbean Digital Assets: CDA Academy Team Training Agreement
Version 1.0 · Last updated 16 October 2026
1. About this agreement
This Team Training Agreement ("Agreement") is between Caribbean Digital Assets LLC, a Wyoming limited liability company (Wyoming Secretary of State ID 2026-001965020) with its principal office at 30 N Gould St Ste R, Sheridan, WY 82801, USA ("CDA", "we", "us"), and the organisation named in the Programme Details ("the Organisation", "you").
It applies to CDA Academy Team Training: private workshops, programmes or courses delivered by CDA to the Organisation's staff or members. It adds to the CDA Academy Terms, which also apply. If this Agreement and the CDA Academy Terms conflict, this Agreement governs for Team Training.
"Programme Details" means the programme, number of participants, sessions, dates, delivery format and price set out in the quote and invoice CDA issues for this Team Training, with the same request number (for example CDA-REQ-2026-0001).
2. Authority to accept
The person accepting this Agreement confirms that they are authorised to accept it on behalf of the Organisation and to commit the Organisation to paying the fees.
3. The programme
CDA will deliver the programme described in the Programme Details. Changes to the programme, dates, number of participants or price must be agreed in writing; email from info@caribbeandigitalassets.com is enough. If a change affects the price, CDA will issue an updated quote or invoice.
CDA may adjust the content to keep it accurate and up to date, without reducing the overall scope agreed.
4. Fees and payment
The fees are as stated in the invoice, in US dollars. Unless agreed otherwise in writing, the full amount must be paid before the first session.
Payment is made by bank transfer or through a secure crypto payment link issued by CDA, and only through an official CDA invoice. The Organisation pays all bank, transfer and currency conversion fees. Sessions are confirmed once payment is received in full.
If the Organisation is required by law to withhold any tax from the payment, it will increase the payment so that CDA receives the full invoiced amount.
5. Participants
Up to the number of participants stated in the Programme Details may attend. The Organisation will give CDA each participant's name and email address at least 3 business days before the first session.
The Organisation may replace a participant with another member of its staff by telling CDA at least 2 business days before the next session. Additional participants may be added by agreement, at an additional fee.
Participants must follow the CDA Academy code of conduct. CDA may remove a participant who seriously or repeatedly breaches it, without refund for that participant.
6. Rescheduling
By the Organisation: the Organisation may move a scheduled session once, free of charge, by giving at least 10 business days' notice, to a date within 90 days of the original date that suits both parties. Requests with less notice, or a second request for the same session, are treated as a cancellation of that session under section 7, unless CDA agrees otherwise.
By CDA: CDA may reschedule a session because of illness, emergency, or a technical or other problem outside its reasonable control. CDA will tell the Organisation as soon as possible and offer a new date. If no suitable new date is agreed within 60 days, CDA will refund the fees for the sessions not delivered.
7. Cancellation and refunds
If the Organisation cancels the Team Training, the following applies, counted from the date of the first session:
• 30 days or more before the first session: full refund. • 14 to 29 days before the first session: 50% refund. • Less than 14 days before the first session, or after the programme has started: no refund. CDA may, at its discretion, offer to deliver undelivered sessions at a later date instead.
If CDA cancels the Team Training, the Organisation receives a full refund of the fees for any sessions not delivered.
Refunds are paid within 14 days to the account the payment came from, by the same method. Bank, transfer and currency conversion fees are not refundable.
8. In-person sessions
Where sessions are delivered in person, the Organisation provides a suitable venue, internet connection and screen or projector, unless agreed otherwise. Travel and accommodation costs for sessions outside Trinidad and Tobago are quoted separately and payable in advance.
9. Recordings and materials
CDA may record online sessions. Recordings, slides and other materials are for the internal training use of the Organisation's participants only. They may not be shared outside the Organisation, published, resold or used to train others without CDA's written permission.
CDA owns all rights in its course content, recordings and materials. The Organisation may not record sessions itself without CDA's permission.
10. Certificates
Where the programme includes certificates, they are issued to individual participants under the CDA Academy Terms. A certificate is a certificate of completion, not a professional licence or accreditation.
11. Education only
CDA Academy provides general education only. It is not trading instruction or investment, financial, legal or tax advice, and CDA does not guarantee any result. The Organisation and its participants are responsible for their own decisions and for complying with the laws and rules that apply to them.
12. Confidentiality and data
Each party will keep confidential any non-public information about the other that it receives during the Team Training, and use it only for the Team Training.
CDA uses participants' names and email addresses only to deliver the Team Training, as described in its Privacy Policy. CDA will not name the Organisation as a client in its marketing without the Organisation's permission.
13. Limits on liability
To the extent the law allows, CDA's total liability under this Agreement is limited to the fees the Organisation paid for the Team Training. CDA is not liable for trading losses, lost profits, or indirect or consequential losses. Nothing in this Agreement limits any liability that cannot legally be limited.
14. Electronic acceptance
Typing your full name and accepting online is your electronic signature on behalf of the Organisation. It has the same effect as a handwritten signature under applicable law, including the US Electronic Signatures in Global and National Commerce Act (E-SIGN), the Wyoming Uniform Electronic Transactions Act and, where it applies, the Electronic Transactions Act of Trinidad and Tobago.
15. Governing law and disputes
This Agreement is governed by the laws of the State of Wyoming, USA, and the state and federal courts located in Wyoming have jurisdiction. Before starting any formal dispute, please contact us so we can try to resolve it directly.
16. Whole agreement
The Programme Details, this Agreement and the CDA Academy Terms are the whole agreement for the Team Training. For the programme, number of participants, dates and price, the Programme Details apply; otherwise this Agreement applies, then the CDA Academy Terms.
