Founders' Round: Supporter Tier Addendum
1. About this addendum
This Supporter Tier Addendum ("Addendum") supplements the Founders' Round Backer Agreement (the "Agreement") between you and Caribbean Digital Assets LLC ("CDA", "we", "us"). It applies only when you buy a Supporter slot. You sign it together with the Agreement. Where this Addendum and the Agreement differ, this Addendum governs your Supporter purchase. Otherwise the Agreement applies in full. Words defined in the Agreement have the same meaning here.
2. What you are buying
A Supporter slot is a pre-paid licence to use the Software on one (1) market of your choice for a fixed term (see section 3), together with early access before the public launch and a community badge. A Supporter licence is not a lifetime licence. Where the Agreement refers to a lifetime licence, that does not apply to a Supporter slot, except where this Addendum says otherwise.
3. Start date and term
Your term starts on the Public Launch Date and lasts twelve (12) months. The "Public Launch Date" is the date CDA first makes the Software generally available to the public by paid subscription, as announced by email to all backers. Early access before the Public Launch Date does not count toward your twelve months.
4. Upgrade credit
At any time before the Public Launch Date, you may apply the full amount you paid for your Supporter slot (US$500) toward a Founder slot by paying the difference between that amount and the Founder price shown at checkout. The upgrade is subject to Founder slots being available. When the upgrade payment is confirmed, your Supporter slot is replaced by a Founder slot, this Addendum stops applying, and the Agreement governs your Founder licence. The upgrade credit has no cash value, cannot be transferred, and ends on the Public Launch Date.
5. Renewal discount
When your twelve-month term ends, you may renew your licence for one market at 30% off CDA's regular subscription price in effect at that time for the same level of access. Renewal is optional and is never automatic. We will not charge you without your separate agreement at the time.
6. Refunds, risk and everything else
All other terms of the Agreement apply to your Supporter purchase, including that it is not an investment (section 3), price and crypto payment (section 6), slots (section 7), cancellations, refunds and non-delivery (section 8), trading risk (section 9), eligibility (section 10), limits on our liability (section 11), your information (section 12), electronic signature (section 13), changes (section 14), governing law and disputes (section 15) and contact (section 16).
7. Electronic signature
Typing your full name and ticking the box to agree to this Addendum is your electronic signature to this Addendum, with the same effect described in section 13 of the Agreement.
